We primarily advise companies and banks on national and cross-border financing transactions and on matters of financial regulatory law. Our advisory spectrum includes in particular project financing, especially in the area of renewable energy, real estate financing, trade and export financing, factoring, securitizations, advice on loan collateral and restructurings. Additionally, we provide ongoing advice on regulatory matters. Most recently, we have provided legal support for the following transactions:

  • Advising oekostrom AG and its subsidiaries as well as Erste Bank der österreichischen Sparkassen on the financing of the repowering of the Parndorf wind farm in the amount of EUR 38.76 million.
  • Advising a major Austrian bank in connection with the restructuring of a project financing in the amount of EUR 6 million for the expansion of a shopping center in the Czech Republic
  • Advising Windkraft Simonsfeld AG and its subsidiary as borrower on the financing of wind farms in the amount of EUR 63.0 million by the European Investment Bank (EIB) and Erste Bank der österreichischen Sparkassen

 

  • Advising an Austrian bank in connection with a loan grant to an Austrian entrepreneur in the amount of EUR 10 million
  • Advising an international syndicate of cooperative banks on a cross-border syndicated financing in the amount of EUR 200 million
  • Advising the Austrian subsidiary bank of an international major bank in connection with an export guarantee under the URDG of the International Chamber of Commerce (ICC)
  • Advising an Austrian bank on several real estate financings in CEE
  • Advising an Austrian bank on project financing for a wind farm in Austria

 

We regularly advise issuers and banks on equity, hybrid and debt issuances, structured financings as well as on the establishment and legal support of AIFs and investment funds in matters of contract and regulatory law. Most recently, we have advised on the following transactions:

  • Advising the banks on the issuance of a covered bond with a volume of EUR 1 billion by Erste Group Bank AG
  • Advising CA-CIB, Erste Group, HSBC and UBS as Joint Lead Managers on the issuance of a EUR 400 million Tier 2 bond by Volksbank Wien

 

  • Advising HSBC as Sole Structuring Adviser and Sole Bookrunner on the issuance of a EUR 125 million hybrid bond by PORR
  • Advising oekostrom AG as issuer on the first capital increase in Austria that was placed via crowdinvesting
  • Advising Barclays, Goldman Sachs, Morgan Stanley and UBS as Joint Lead Managers on the issuance of a EUR 500 million Additional Tier 1 bond by Erste Group

 

In addition to ongoing contractual and corporate law advice for our clients, we regularly support M&A transactions in all legal aspects. We also have experience in the areas of private equity and venture capital, among others. In recent times, we have been increasingly mandated for high-volume transactions and have thereby been able to further strengthen our expertise in the M&A field:

  • Advising the shareholders of Austrian software company Ranorex GmbH on the sale of their shares to US software corporation Idera, Inc.

 

  • Advising the shareholders of the Loytec Group on the sale of their shares to a Taiwanese electronics corporation for EUR 72 million
  • Advising the Dutch acquirer on the acquisition of shares in an Austrian distribution company
  • Advising the Polish acquirer Mercury Market on the acquisition of bauMax Czech Republic as an asset deal
  • Advising an acquisition company of ADLER Real Estate AG before the Takeover Commission in the course of an ex officio review proceeding pursuant to § 33 para 1 no 2 of the Austrian Takeover Act concerning conwert Immobilien Invest SE

 

We regularly represent clients before the Austrian courts and arbitration panels with a particular focus on banking, finance, and M&A related cases, if litigation is in our client’s best interest. We also advise our clients as debtors or secured or unsecured creditors on restructurings and insolvency proceedings. In addition to advising on Austrian insolvency law, we have extensive experience with cross-border insolvency proceedings. Recently, we have represented clients in court and in out-of-court restructuring transactions as follows:

  • Representing an investment fund domiciled in the Cayman Islands in the litigation of claims against an Austrian bank in connection with a financing in Norway
  • Advising VTB Bank on the insolvency of Alpine Bau GmbH
  • Advising a Russian bank on the sale of a non-performing loan portfolio to a distressed hedge fund of Citigroup
  • Advising several US funds on the enforcement of their claims against HETA Asset Resolution AG before Austrian courts
